1. Operational Scope & Service Definition

These Terms and Conditions constitute a legally binding agreement between SentePro ("Platform," "Company," "We," or "Us") and any registered user, business entity, or individual ("User," "Merchant," or "You") accessing or utilizing our software services. SentePro operates strictly as an intermediary payment aggregator and software platform. The Platform enables registered merchants, commercial enterprises, sole proprietors, and non-profit entities to accept payments via credit cards, debit cards, mobile money networks, and third-party financial gateways, while consolidating transaction records and settlement routines into a unified administrative dashboard. SentePro does not act as a bank, financial deposit institution, or escrow service.

2. Account Registration, Verification & Access Credentials

• Identity Verification: Access to live payment processing is contingent upon successful identity verification. Business accounts must submit complete Know Your Customer (KYC) and Know Your Business (KYB) documentation, including legal entity registration, tax identification numbers, national IDs, physical business location details, and beneficial ownership records. Individual accounts must verify a valid email address and legal contact information.
• Accuracy of Credentials: You represent and warrant that all information provided during registration is accurate, current, and complete. You agree to update registration details immediately upon any material change.
• Account Security: Merchants are solely responsible for maintaining the confidentiality of dashboard login credentials, API keys, and authentication tokens. Any action, transaction, or setting adjustment executed under your account credentials - whether by authorized staff or unauthorized third parties - remains your sole legal and financial responsibility.
• Configuration Obligations: Merchants bear exclusive responsibility for the configuration, pricing, and accuracy of payment links, QR codes, custom checkout fields, and API integrations generated via the Platform.

3. Prohibited Activities, Conduct & Legal Responsibility

• Strict Prohibitions: You agree not to utilize SentePro to collect funds, execute transactions, or facilitate activities related to illegal goods, fraudulent schemes, unauthorized gambling, unlicensed financial services, weapons, counterfeit items, pyramid schemes, or any activity violating applicable regional or international laws.
• Sole Liability: SentePro explicitly disclaims all liability for the nature, legality, or quality of goods and services sold by merchants using the Platform. Users assume absolute legal and financial liability for their commercial operations, customer interactions, tax collection responsibilities, and statutory compliance.

4. Third-Party Infrastructure, Availability & Liability Limits

• Network Intermediaries: SentePro relies on third-party mobile network operators (MNOs), banking institutions, credit card networks, and external payment processing gateways to clear and settle transactions. SentePro is not liable for transaction failures, authorization delays, network timeouts, or service interruptions caused by third-party infrastructure, telecommunication outages, or software failures beyond our reasonable operational control.
• Limitation of Liability: To the maximum extent permitted by applicable law, SentePro, its affiliates, officers, and employees shall not be liable for direct, indirect, incidental, consequential, or punitive damages - including loss of profits, revenue, data, or business opportunities - arising from your use of, or inability to use, the Platform.

5. Regulatory Cooperation, Fraud Prevention & Audits

• Compliance Cooperation: Merchants agree to fully cooperate with SentePro, banking partners, law enforcement agencies, and statutory financial regulatory bodies in any investigation concerning suspicious transactions, potential fraud, anti-money laundering (AML) compliance, or legal disputes.
• Documentary Requests: SentePro reserves the right to request proof of delivery, fulfillment records, customer invoices, or identity documentation for any transaction flagged for risk review. Failure to provide requested documentation within specified timelines may result in immediate funds retention or account suspension.

6. Account Suspension, Termination & Fee Retention

• Right to Terminate: SentePro reserves the right to suspend, restrict, or terminate account access immediately, without prior notice, if a user violates these Terms, engages in illegal activity, experiences excessive chargeback volumes, or poses an unacceptable risk to the Platform's operational integrity.
• Non-Refundable Adjustments: In the event of account suspension or termination due to compliance breaches or unlawful conduct, all platform service fees, processing charges, and accrued administrative expenses remain strictly non-refundable. SentePro reserves the right to withhold pending settlements to cover potential chargeback obligations or regulatory fines.

7. Governing Law, Modifications & Acceptance

• Policy Amendments: SentePro reserves the right to revise, update, or modify these Terms and Conditions at any time. Changes become effective immediately upon publication on the Platform or notification via your registered email address.
• Binding Acceptance: Your continued access to the dashboard or use of SentePro services following the posting of revised Terms constitutes your explicit and binding legal acceptance of the updated document.
